What makes employers OK spending $$$ on lawyers to prepare paperwork for TN visa?

Apologies if this is a silly question, but I can't seem to wrap my head around it. I am an accountant and I am sure there is no shortage of accountants in the US. Why is it that US employers are willing to pay money to lawyers and/or invest extra time to get TN paperwork done to hire someone from Canada or Mexico? Is there a catch?
