I own 28% of a company I have equal shears of. I have a close friend that wants to buy 5% from me. He wants to get legal documents for this exchange. I have a few concerning questions.

  1. Can I legally sell some of my % under the table without the team knowing?

  2. What kind of contract would I need to get and does it need to be notarized?

  3. Will this contract be enough to make this deal set in stone, would we have to do anything else?

  4. Not question- Since it’s between me and him, anything that happens when the company sells, he is entitled to 5% of what 28% is sold for.

  5. Have you guys ever seen or heard of something like this?
