Friendly reminder to always review what you're signing because you might end up regretting it. When in doubt, ask a lawyer nalang kasi their fee is much less than what you may end up paying for.

I'm saying this kasi na shookt ako sa isang NDA na sinend sakin sa client ng client (CNC) ko. Now, I've signed a lot of NDAs in my more than 10 years of freelancing, so I know when something sounds unusual.

In my case, may kasama pa kasing Non Disparagement sa NDA. Bawal daw akong magsabi or gumawa ng anything na ikakasama ng CNC before, during, and after signing the NDA.

On top of that, may part pa that says na they can take action as per the agreement anytime, kahit pa na lampas na Statute of Limitations ng state na mag-eenforce ng NDA.

So basically, if I sign the NDA and accidentally share an fb post that talks ill of CNC, they can sue me kahit 90 yrs old na ako.

Buti nga sa nondisparagement ay nag ping na kaagad ang mental red flag alarm. Nag consult kaagad ako ng kakilala kong lawyer and nag decide kami ni di talaga mag sign. Mahirap na kasi even if I will never do it. It's better to be safe than sorry lalo na if ang other side ay US based.

Inexplain ko naman bakit ayaw kong mag sign kay client, and we found a way na makakapagwork pa rin ako on CNC-adjacent projects without signing it.

Ganun lang. Don't sign documents you don't understand kasi baka delikado pala ang nakasaad dyan.
