Hi, all,
Are there any good books or CLEs or law review articles out there on the subject of performing general M&A due diligence? Iām looking mostly for kind of survey level material that could be used to generate training materials or a CLE.
I know how to do diligence myself, but Iād like to be more systematic about it, especially for purposes of training juniors. I never received any meaningful specific training in performing diligence. It was mostly just āhereās a massive number of documents, donāt miss anything important, donāt take too long, good luckā. Thatās kind of ā¦ unfortunate since it is probably the largest or close to the largest work stream for an M&A transaction.
Anyway, if anyone can recommend any good reference resources ā¦ that would be great! Not finding much on Amazon (targeted to lawyers) or the ABA website (other than very niche materials). I think itās just kind of an overwhelming subject matter.
