Just need some info what this part of the bylaws for my association may mean. My HOA is currently boardless and we are trying to get a new board installed but our management company refuses to give any members of the association a membership list. Using the county treasurer we got the addresses of everyone but mailing everything out would cost 1930 out of pocket. As you can see we are trying to save money.
I have found this in my bylaws: A special meeting of the Members of the Association shall promptly be called by the Board upon the vote for such a meeting written by a majority of a quorum of the Board or upon receipt of a request therefore signed by Members representing twenty five percent (25%) of the total voting power of the Association or voting by Members representing twenty—five percent (25%) of the power residing in Members other than Declarant.
I have also found this: Vacancies in the Board caused by any reason other than the removal of a Director by a vote of the Members shall be filled by vote of the majority o the remaining Directors, and each Person so elected shall be a Director for the remainder of the term of the Director he/she replaces or until a successor is elected at a special meeting of the Members called for that purpose. Vacancies created by the removal of a Director by the Members shall be filled by a vote of the Members.
Since our quorum needed is 20 percent: If we follow these bylaws and get signatures as needed and votes can we install a new board? I am in the state of Arizona
