Don't quite understand premise of Civil War, please explain

Here's a part I just thought about and find confusing. In the trailer and the previous comic series, it's stated that the Avengers have been without oversight and this lawless force for too long and now they have to come clean and respect authority.

But looking at the story, that's not the case at all. In the movies, The Avengers Initiative was put together by SHIELD as mentioned in Iron Man 1. Iron Man 1 clip https://www.youtube.com/watch?v=Nyjwkav3h_0 So it has dossiers on all the Avengers (especially Capt, Hawkeye, Falcon and Bucky,) and the Avengers work very closely if not take orders from Nick Fury and the 'shadowy council' in Capt America 2. Capt America is in the Shield building quite often. Everyone in Shield knew who they were and what they were doing in Age of Ultron. They sent a helicarrier to help them out.

So they aren't mysterious figures with no oversight, (like Batman, or formerly Spiderman who is on the Iron Man side), they are known and have regular contact with Shield a governmental agency

So why the fuss ? Why is it suddenly "Whoa who are these people, what are they doing ? Do we know anything about them ?"

Am I asking for too much logic here ? Is it simply a reason to see heroes fight each other ?
