What makes an idea a dime a dozen or worth millions?

When someone is looking for cofounders or investors and require an NDA before even talking about it, people are quick to say that ideas are worth a dime a dozen. However, established companies spend a lot of money protecting their ideas either about new products or updates to existing ones.
Whatโs the difference between one and the other? Is it the capital available to invest? Or the track record the company or person has that shows the likelihood of the idea to be successful?
